Terms of Service
These terms set the general rules for using the website and engaging Lumis for professional services.

1. Scope
These Terms of Service govern your use of the Lumis website and any consulting, implementation, automation, AI, training, or related services provided by Lumis.
2. Services
Lumis provides strategy, implementation, workflow design, AI deployment, training, advisory, and related professional services. Specific deliverables, timing, pricing, and responsibilities may also be set out in proposals, statements of work, or separate agreements.
3. Commercial Terms
Fees, billing timing, payment terms, and project scope are determined by the applicable proposal or agreement. Unless otherwise agreed in writing, invoices are due within the stated payment period and paid amounts are non-refundable once work has commenced.
4. Client Responsibilities
Clients are responsible for providing timely access to systems, stakeholders, information, and approvals needed for delivery. Clients remain responsible for business decisions, internal approvals, compliance obligations, and use of any outputs after delivery.
5. Third-Party Tools and Platforms
Lumis may work with or recommend third-party tools, AI models, APIs, cloud services, and software platforms. Those services are controlled by third parties and remain subject to their own terms, pricing, availability, privacy, and security practices.
6. Confidentiality
Each party must protect confidential information disclosed by the other party and use it only for the purpose of the engagement, except where disclosure is required by law or the information is already public through no fault of the receiving party.
7. Intellectual Property
Pre-existing intellectual property remains the property of its original owner. Unless otherwise agreed in writing, Lumis retains ownership of its methods, frameworks, templates, know-how, and reusable materials, while clients receive the rights needed to use agreed deliverables for their internal business purposes.
8. No Guarantee of Outcomes
Lumis does not guarantee any specific commercial, operational, legal, financial, or technical outcome. AI systems and automations depend on client inputs, third-party tools, operational conditions, and human adoption.
9. Limitation of Liability
To the maximum extent permitted by law, Lumis is not liable for indirect, incidental, special, or consequential loss, including loss of revenue, profits, data, business opportunity, or goodwill. Total liability for any claim relating to the services is limited to the fees paid for the specific services giving rise to the claim.
10. Termination
Either party may terminate an engagement as permitted under the relevant proposal or written agreement. On termination, the client must pay for work performed and expenses incurred up to the termination date.
11. Changes
Lumis may update these Terms from time to time. The latest version posted on the website applies from the stated update date.
